These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and SBI, operating as ZOE Pulse ("Company," "we," "us," or "our"), governing your access to and use of the ZOE Pulse platform, including any websites, applications, APIs, reports, and related services (collectively, the "Service") available at zoepulse.pro and zoeai.pro.
By creating an account, accessing, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" and "your" refer to that entity.
If you do not agree to these Terms, you must not access or use the Service. Your continued use of the Service following any modifications to these Terms constitutes your acceptance of the revised Terms.
ZOE Pulse is an AI-powered competitive intelligence and market research platform designed to help businesses understand their markets, competitors, and customers. The Service provides:
The Service is provided on an "as available" basis. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
To access certain features of the Service, you must create an account. When registering, you agree to provide accurate, current, and complete information, including your legal name, valid email address, and any other information required during the registration process. You agree to update your account information promptly to keep it accurate, current, and complete.
You are solely responsible for maintaining the confidentiality of your account credentials, including your password and any authentication tokens. You agree to take all reasonable precautions to protect your account, including using a strong, unique password and enabling multi-factor authentication where available.
You are fully responsible for all activities that occur under your account, whether or not authorized by you. You agree to immediately notify us at legal@zoepulse.pro if you become aware of any unauthorized use of your account or any other breach of security. We shall not be liable for any loss or damage arising from your failure to protect your account credentials.
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement in your jurisdiction to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements.
All paid subscriptions and one-time purchases are processed through Stripe, Inc., our third-party payment processor. By providing your payment information, you agree to Stripe's terms of service and authorize us to charge the applicable fees to your designated payment method. You represent and warrant that you are authorized to use the payment method you provide.
Subscriptions are billed on a recurring basis according to the billing cycle you selected at the time of purchase (monthly or annually). Subscription fees are charged in advance at the beginning of each billing period. All fees are quoted in United States Dollars (USD) unless otherwise specified.
All subscriptions automatically renew at the end of each billing period unless you cancel your subscription before the renewal date. Upon renewal, your payment method will be charged at the then-current subscription rate, which may have changed from your original subscription price. We will provide at least 30 days' notice of any price increases.
You may cancel your subscription at any time through your account settings or by contacting us at legal@zoepulse.pro. Cancellation takes effect at the end of your current billing period. You will continue to have access to paid features until the end of the period for which you have already paid. No partial refunds are provided for unused portions of a billing period unless otherwise required by applicable law.
If a payment fails, we may retry the charge and/or suspend your access to paid features until payment is successfully processed. We reserve the right to terminate your account if payment cannot be collected after reasonable attempts.
ZOE Pulse offers the following service tiers:
The Free tier provides an automatically generated competitive snapshot report at no cost. Free reports are generated on a best-effort basis using available public data and AI analysis. There is no guarantee of delivery time, report completeness, data accuracy, or availability. Free reports are provided "as is" without any warranty, express or implied. We reserve the right to limit the frequency, scope, or availability of Free tier reports at any time and without notice.
The Professional tier provides a comprehensive, multi-section intelligence report with in-depth competitive analysis, market positioning insights, and actionable recommendations. Professional reports are backed by our "5 Actionable Insights Guarantee": each Professional report will contain at least five concrete, actionable insights specific to your business and market. If your report does not contain at least five actionable insights, you are eligible for a full refund, subject to the terms outlined in Section 12 (Refund & Guarantee Policy).
The Enterprise tier delivers a comprehensive strategic intelligence package, including detailed competitive landscape analysis, market opportunity assessment, strategic recommendations, and implementation frameworks. Enterprise reports are backed by our "Beats a $15K Consulting Engagement Guarantee": the Enterprise deliverable is designed to match or exceed the depth, quality, and strategic value of a traditional consulting engagement costing $15,000 or more. If you believe the Enterprise deliverable does not meet this standard, you are eligible for a full refund, subject to the terms outlined in Section 12 (Refund & Guarantee Policy).
You agree to use the Service only for lawful purposes and in compliance with these Terms. You shall not:
We reserve the right to investigate and take appropriate action against any user who violates these acceptable use provisions, including without limitation suspending or terminating the user's account and reporting the user to law enforcement authorities.
The Service, including but not limited to its software, design, text, graphics, logos, icons, images, report templates, AI models, algorithms, user interface, and all other content and technology (collectively, "Platform IP"), is owned by SBI (operating as ZOE Pulse) or its licensors and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. Nothing in these Terms transfers any ownership of Platform IP to you.
You retain full ownership of all data, information, and content that you input into the Service ("User Content"), including your company information, business details, competitor lists, and any other information you provide. By using the Service, you grant us a limited, non-exclusive, worldwide license to use your User Content solely for the purpose of providing the Service to you, including generating reports and analyses.
Reports generated by the Service ("Reports") are licensed to you for your internal business use. Under this license, you may:

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF SBI (OPERATING AS ZOE PULSE), ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES, ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES ACTUALLY PAID BY YOU TO US DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
IN NO EVENT SHALL SBI (OPERATING AS ZOE PULSE), ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WITHOUT LIMITING THE FOREGOING, WE SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY BUSINESS DECISIONS, STRATEGIES, ACTIONS, OR OMISSIONS MADE BY YOU BASED ON OR INFLUENCED BY REPORTS, DATA, ANALYSES, OR RECOMMENDATIONS PROVIDED THROUGH THE SERVICE. YOU ACKNOWLEDGE THAT ALL BUSINESS DECISIONS ARE MADE AT YOUR OWN RISK AND DISCRETION.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the limitations set forth above shall apply to the fullest extent permitted by applicable law.
You agree to indemnify, defend, and hold harmless SBI (operating as ZOE Pulse), its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or in connection with:
We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You shall not settle any claim without our prior written consent.
We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, if we reasonably determine that you have violated these Terms, engaged in fraudulent or abusive conduct, or if your continued use poses a risk to the Service or other users. We may also terminate or suspend accounts that remain inactive for an extended period.
You may cancel your account and terminate your use of the Service at any time by accessing your account settings or by contacting us at legal@zoepulse.pro. If you have an active paid subscription, cancellation will take effect at the end of your current billing period.
Upon termination, your right to access and use the Service will immediately cease. We will retain your account data for a period of thirty (30) days following termination, during which time you may request an export of your data by contacting us at legal@zoepulse.pro. After the 30-day retention period, all data associated with your account will be permanently deleted from our active systems, except as required by applicable law or as necessary to enforce these Terms. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 7, 8, 9, 10, 13, and 14.
The Free tier (Competitive Snapshot) is provided at no cost. No refunds apply to the Free tier, as no payment is collected.
Each Professional Intelligence Report is guaranteed to contain at least five (5) concrete, actionable insights specific to your business and competitive landscape. If, upon review, your Professional report does not contain at least five actionable insights, you may request a full refund. To qualify for a refund under this guarantee, you must submit your refund request within fourteen (14) days of report delivery to legal@zoepulse.pro, identifying the report in question and explaining why you believe it does not meet the guarantee. We will review your claim and, if validated, issue a full refund to your original payment method within ten (10) business days.
Each Enterprise Strategy deliverable is guaranteed to match or exceed the depth, quality, and strategic value of a traditional consulting engagement costing $15,000 or more. If you believe your Enterprise deliverable does not meet this standard, you may request a full refund. To qualify, you must submit your refund request within fourteen (14) days of deliverable delivery to legal@zoepulse.pro, providing a detailed explanation of why you believe the deliverable did not meet the guaranteed standard. We will review your claim and, if validated, issue a full refund to your original payment method within ten (10) business days.
All refund requests are evaluated on a case-by-case basis. Refund decisions under the guarantee programs are made at the sole discretion of SBI (operating as ZOE Pulse), acting in good faith. Refund requests submitted after the 14-day window will not be honored except as required by applicable law. Refunds will be processed to the original payment method. We reserve the right to deny refund claims that we determine to be fraudulent, abusive, or made in bad faith.
These Terms and any dispute arising out of or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. You agree that any legal action or proceeding (to the extent not subject to arbitration as set forth in Section 14) shall be brought exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service, including the determination of the scope or applicability of this agreement to arbitrate, shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules then in effect. The arbitration shall be conducted by a single arbitrator. The seat of arbitration shall be Wilmington, Delaware. The language of the arbitration shall be English. Judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
YOU AND SBI (OPERATING AS ZOE PULSE) AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. Unless both you and we agree otherwise in writing, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative, class, or collective proceeding.
Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes or claims within the jurisdictional limits of the small claims court, provided that the action is not removed or transferred to a court of general jurisdiction.
Nothing in this Section shall prevent either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to prevent imminent, irreparable harm pending the outcome of arbitration.
We reserve the right to modify or update these Terms at any time. When we make material changes to these Terms, we will notify you by sending a notification to the email address associated with your account at least thirty (30) days before the changes take effect. We will also update the "Last updated" date at the top of this page.
Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and, if applicable, cancel your subscription before the effective date of the revised Terms.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.
These Terms, together with the Privacy Policy and any other agreements or policies referenced herein, constitute the entire agreement between you and SBI (operating as ZOE Pulse) regarding your use of the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service.
The failure of SBI (operating as ZOE Pulse) to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms shall be effective only if made in writing and signed by an authorized representative of SBI.
You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. We may assign these Terms, in whole or in part, without restriction. Any purported assignment in violation of this Section shall be null and void. These Terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.
SBI (operating as ZOE Pulse) shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, epidemic, war, terrorism, riots, embargoes, acts of civil or military authority, fire, flood, accidents, strikes, labor disputes, shortages of transportation, fuel, energy, labor, or materials, failure of telecommunications or information technology infrastructure, cyberattacks, or any other events beyond our reasonable control.
